SEC Opens a Conditional Route for Tokenized U.S. Stocks
A five-year, permissioned exemption permits a narrow trading model while preserving antifraud rules and issuer opt-outs.

The U.S. Securities and Exchange Commission issued temporary, conditional relief for permissioned venues that trade tokenized National Market System stocks through automated market-maker pools. The order also gives qualifying liquidity providers limited relief from the dealer definition. It excludes synthetic exposure, bars primary issuance on these venues and keeps federal antifraud and antimanipulation rules in force.
The measure is a controlled market-structure experiment, not blanket approval of onchain equities. Venues face access, disclosure, recordkeeping, technology and volume conditions, while issuers can object to their shares being traded. The investment consequence is a clearer path for a specific tokenized-stock model, paired with operational limits that make venue compliance and issuer participation more important than headline availability.
